Two forms, one calendar
AOC-4 files the financial statements. MGT-7 (or MGT-7A where applicable) is the annual return. They are not interchangeable, and they are not optional because the company had no operations. The due dates run from the AGM, which itself has a statutory window from the financial year-end. Missing the sequence is how additional fees and adjudication begin.
Accounts before the AGM
Board approval of accounts, auditor’s report, and the notice of AGM have to exist before members can adopt the statements. Companies that start AOC-4 while the auditor is still waiting for a confirmation letter are already late. Close books, finish the audit, hold the board meeting, then call the AGM.
